Terms of Service for GreekLine

Acceptance of Terms: By accessing and using the GreekLine application (the "Application"), owned and operated by BearLine LLC ("Company" or "We" or "Us"), you ("User" or "You") agree to comply with and be bound by these Terms of Service ("Terms").

‍Service Overview: GreekLine is a service in which a user can send an SMS message to an organization's designated phone number. The contents of that message are then forwarded to multiple event organizers' within a mobile application.

When you send ‘START’ and Opt-in you can expect an automated response confirming that you are connected to the event host. You may then send your message which will be forwarded to the event host who will view your message, but not be able to see your phone number, and the event organizer can reply to your messages. You may opt out at any time.

You can cancel the SMS service at any time. Just text "STOP" to the number. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

‍Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive messages at a frequency that varies. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

GreekLine Chapter Use Agreement

Acceptance of Terms: By accessing and using the GreekLine application and system (the "Application"), owned and operated by BearLine LLC ("Company" or "We" or "Us"), you ("User" or "You") agree to comply with and be bound by this agreement("Agreement").

‍This Agreement (the “Agreement”), is made by and between Bearline LLC d/b/a GreekLine, a California Limited Liability Company, with its principal place of business at 122 15^th St., Unit 2021, Del Mar, California 92014 (“Company”) and the participating fraternity or sorority chapter (“Customer”). Company and Customer are hereinafter collectively referred to as the “Parties” or singularly as the “Party.”WHEREAS, Company is a leader in the provision of event management and real-time incident reporting software services, and has created a proprietary mobile application and custom onboarding experience for its customers; WHEREAS, Customer is a local fraternity or sorority chapter who uses the GreekLine system and services;NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS 1.1 “Authorized User” or “Authorized Users” means an (i) employee of Customer or (ii) an individual, registered member of a local fraternity or sorority chapter, as set forth in Exhibit A hereto. 1.12 “Documentation” means physical and/or digital educational and support materials provided by the Company to the Customer and/or Authorized Users for use in connection with the Software. 1.14 “Software” means the Company’s proprietary mobile application designed to enable the anonymity of a sender’s contact and personal information through the conversion of SMS-based communications to in-application, real-time chat communications with event organizers.
2. LIMITATIONS OF LIABILITY 2.1 IN NO EVENT WILL COMPANY BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, FOR ANY: (a) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES; (b) INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS; (c) LOSS OF GOODWILL OR REPUTATION; (d) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY; OR (e) COST OF REPLACEMENT GOODS OR SERVICES, IN EACH CASE REGARDLESS OF WHETHER COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE.

Exhibit A
PARTICIPATING CHAPTERS
The individuals registered as members of the local chapters of the fraternity or sorority (i.e., the Customer) will be considered “Authorized Users” for purposes of this Agreement and will have access to the Software and all supporting Documentation, as jointly determined by the Parties.
